COI Watch ("COI Watch", "we", "us") is operated by Substack Compliance ("Seller"). By using the service you are entering into an agreement with Substack Compliance.
By creating an account or otherwise using the service you agree to these Terms. If you do not agree, do not use the service. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization.
COI Watch helps general contractors collect, store, parse, and track subcontractor compliance documents (such as certificates of insurance, W-9s, and licenses) and send expiry notifications.
You must not (a) use the service unlawfully or for fraud or spam; (b) infringe intellectual property or privacy rights; (c) interfere with the security of the service, including via malware, probing, or scraping; or (d) upload content you do not have the right to submit.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and keep it up to date.
Substack Compliance retains all right, title, and interest in the service, including the software, documentation, and branding. You receive a limited, non-exclusive, non-transferable right to use the service in accordance with these Terms and your plan.
You retain ownership of the documents and data you upload. You grant us a limited license to host, process, and display that content solely to provide the service.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellation, and refund mechanics are governed by Paddle's Buyer Terms, available at https://www.paddle.com/legal/checkout-buyer-terms, and by our Refund Policy.
Paid plans renew automatically at the end of each billing cycle until cancelled. You can cancel at any time from your billing portal; cancellation takes effect at the end of the current billing period.
We work hard to keep the service available and accurate, but we do not guarantee that it will be uninterrupted, error-free, or that document parsing will be 100% accurate. You remain responsible for verifying compliance decisions.
To the fullest extent permitted by law, the service is provided "as is" and we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Our aggregate liability for any claim arising out of these Terms is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, special, or punitive damages, including lost profits, lost data, or loss of goodwill. Nothing in these Terms limits liability that cannot be limited under applicable law.
We may suspend or terminate your access for (a) material breach of these Terms, (b) non-payment, (c) security or fraud risk, or (d) repeated or serious policy violations. On termination your right to use the service ends; we will give you a reasonable window to export your data unless prohibited by law.
You will indemnify Substack Compliance against claims arising from your content, your unlawful use of the service, or your breach of these Terms.
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of the jurisdiction in which Substack Compliance is established, without regard to conflict of laws principles. Disputes will be resolved in the courts of that jurisdiction.
